Step by step

  1. Choose and check your LLC name

Search Sunbiz for the proposed name and close variations. Use a required LLC designator and confirm the name is distinguishable. A search is not a reservation; the state reviews the name with your filing.

  2. Gather addresses and management details

Provide the principal and mailing addresses and the authorized management information. Those addresses may be outside Florida; the registered office must be a physical Florida street address.

  3. Appoint a Florida registered agent

Choose an eligible agent, confirm the registered office and obtain the agent’s written acceptance. The $25 state designation fee is part of the filing fee, not payment for an annual registered-agent service.

  4. Prepare and file Articles of Organization

Review the Articles and submit them to the Division of Corporations through Sunbiz. The state fee is $125: $100 for Articles plus $25 for registered-agent designation. Our service fee is separate; state approval and timing are not guaranteed.

  5. Organize records and federal tax steps

Keep approved Articles and company records, consider an operating agreement and review whether an EIN is required. An EIN is free directly from the IRS. Discuss tax classification and any S-corporation election with a qualified adviser.

  6. Plan the annual report

The first report is generally due in the calendar year after formation. File January 1–May 1; the LLC state fee is $138.75. A $400 late fee applies after May 1, and continued nonfiling can lead to administrative dissolution.

Frequently asked questions

How is the $125 state fee calculated?

$100 for Articles of Organization plus $25 for registered-agent designation. Optional certificates and copies are not included.

Is the $25 fee the cost of registered-agent service?

No. It is a state designation fee, not the fee charged by a professional registered-agent service.

Is a corporate kit included?

Yes. Starter ($299), Pro ($449) and Complete ($749) each include a corporate kit; Florida state fees are additional.

When is my first annual report due?

Generally in the calendar year after formation, during January 1–May 1. The LLC state fee is $138.75; after May 1 a $400 late fee applies.

How is an LLC taxed?

The IRS generally treats a single-member LLC as disregarded and a multi-member LLC as a partnership by default. Eligible entities may elect another classification. Consult a tax adviser; formation does not select the best tax treatment for you.
