Terms of Service

Corp USA provides the following services: • LLC Formation Filing: Preparation and submission of Articles of Organization to the Florida Division of Corporations. • Registered Agent Service: Designation as your Florida registered agent to receive service of process and official correspondence on your behalf. • Compliance Dashboard: A web-based dashboard providing filing reminders, document storage, and business health monitoring. • EIN Assistance: Preparation and submission of Employer Identification Number applications to the IRS. • Annual Report Filing: Preparation and submission of Florida Annual Reports to the Division of Corporations. • Corporate Kit: Professional document organization materials for your LLC records.

Corp USA is not a law firm and does not provide legal advice. Our services are limited to document preparation and filing based on the information you provide. We do not offer legal opinions, tax advice, or representation in legal proceedings. If you need legal counsel, we recommend consulting a licensed attorney in your jurisdiction.

By using our services, you agree to: • Provide accurate, complete, and current information for all filings. • Review all documents before submission and notify us of any errors. • Maintain a valid email address for account communications. • Comply with all applicable federal, state, and local laws. • Keep your account credentials secure and not share them with unauthorized parties. • Promptly update your account information if it changes.

Public Florida formation bundles are Starter $299, Pro $449 and Complete $749. Each includes a corporate kit. Florida state fees are separate pass-through charges: $125 for an LLC or PLLC and $70 for a for-profit corporation. Standalone services, optional services and recurring renewal terms are itemized at checkout before payment. An EIN is free directly from the IRS; any amount charged by Corp USA is a preparation/service fee, not an IRS fee. Newspaper publication, licenses and optional state documents may have separate costs. Prices are in US dollars. Existing customer orders remain subject to their accepted order terms. Review the final itemized total and applicable terms before purchasing.

• Before Filing Submission: If we have not yet submitted your documents to the state, you may request a full refund of service fees. State filing fees that have already been remitted are non-refundable. • After Filing Submission: Once documents have been submitted to the Florida Division of Corporations, service fees are non-refundable. State filing fees are non-refundable. • Registered Agent Service: Registered agent fees are non-refundable once the service period has begun. • Physical Products: Corporate kits are non-refundable once shipped. To request a refund, contact us at support@corpusa.net within 30 days of purchase.

We prepare and file documents based on the information you provide. Corp USA is not responsible for errors or delays resulting from inaccurate, incomplete, or outdated information supplied by you. We recommend reviewing all information carefully before submission.

To the fullest extent permitted by law, IncFlorida, Inc. and the CorpUSA family of companies shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services, including but not limited to: • Delays in state processing of filings. • Rejection of filings by state agencies. • Loss of business opportunities. • Administrative dissolution resulting from failure to maintain compliance. Our total liability for any claim related to our services shall not exceed the amount you paid for the specific service giving rise to the claim.

All content on the Corp USA website, including text, graphics, logos, and software, is the property of IncFlorida, Inc. or its licensors and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works without our written consent.

We reserve the right to suspend or terminate your account if you violate these Terms, provide false information, engage in fraudulent activity, or use our services for unlawful purposes. Upon termination, your access to the compliance dashboard and stored documents may be revoked.

These Terms are governed by and construed in accordance with the laws of the State of Florida, without regard to conflict of law principles. Any disputes arising from these Terms or your use of our services shall be resolved in the courts located in Miami-Dade County, Florida.

We may update these Terms from time to time. Changes will be posted on this page with an updated effective date. Your continued use of our services after any changes constitutes acceptance of the updated Terms.
